(CSE: BOLT) (FSE: A2QEUB) (OTCQB: PCRCF) (“Bolt” or the “Company”) announces it intends to complete a non-brokered private placement of up to 714,286 units (each a “Unit”) at CAD$0.35 per Unit for gross proceeds of up to CAD$250,000 (the “Offering”). Each Unit is comprised of one (1) common share in the capital of the Company (each a “Common Share”) and one (1) transferable Common Share purchase warrant (each a “Warrant”). Each Warrant entitles the holder to acquire one (1) Common Share at CAD$0.50 for two years from the date of issuance. In connection with the Offering, the Company may pay finder’s fees to qualified non-related parties, in accordance with the policies of the Canadian Securities Exchange (the “Exchange”), being 7% cash commission on total proceeds raised by the finder. The Company intends to use the net proceeds from the Offering for general working capital purposes.
